Terms of Service

Last updated: July 27, 2026

1. Acceptance of Terms

These Terms of Service ("Terms," "Agreement," or "Terms of Service") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "your," or "User") and Shema Studies ("Company," "we," "us," or "our"), concerning your access to and use of our website, mobile application, and AI-powered homeschooling platform (collectively, the "Service" or "Platform"), as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto.

By creating an account, purchasing a subscription, joining our waitlist, downloading our application, or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not access or use the Service in any capacity.

Furthermore, by enrolling any minor child (including but not limited to children under the age of 13) as a student on the Platform, you represent and warrant that you are the parent or legal guardian of that child and that you have the legal authority to bind that child to these Terms on their behalf. You accept full responsibility for your child's use of the Service and agree to supervise and monitor their activity as appropriate.

These Terms apply to all visitors, users, parents, guardians, students, and others who access or use the Service, regardless of whether they maintain a registered account or maintain an active paid subscription.

These Terms incorporate by reference our Privacy Policy, which describes how we collect, use, disclose, and protect personal information. You should review the Privacy Policy in full alongside these Terms, as it forms an integral part of this Agreement.

2. Description of Service

Shema Studies is an AI-powered homeschooling platform designed to assist parents and legal guardians in managing, planning, and delivering home-based education to their children. The Service encompasses, without limitation, the following features and functionalities:

  • AI Curriculum Generation: Automated creation of personalized lesson plans, assignments, learning blocks, and educational content tailored to each student's grade level, subject area, learning pace, and individual needs, powered by large language model artificial intelligence.
  • Student Learning Portal: A dedicated, gamified interface through which students complete assignments, participate in interactive learning activities, earn experience points (XP), receive badges, track achievements, and engage with educational content.
  • Parent Management Dashboard: Tools for parents to create and manage student profiles, assign subjects, review and grade assignments, track progress, monitor compliance with state homeschool requirements, manage subscriptions, and configure platform settings.
  • Live AI Tutor: An on-demand AI tutoring feature that allows students to ask questions verbally or via text and receive explanations accompanied by AI-generated visual models, including equations, step-by-step solutions, and process diagrams.
  • Shiloh AI Assistant: A parent-facing AI assistant that helps with curriculum planning, student progress analysis, unit brainstorming, schedule structuring, and educational decision-making based on the parent's actual student data.
  • AI Conversation Recording: All interactions between users (both students and parents) and the Platform's AI features are recorded, transcribed, and stored for safety monitoring, quality assurance, and compliance purposes, as described in greater detail in Section 5 below.
  • Compliance Tracking: Tools to track instructional hours, school year structure (semester or trimester), state-specific requirements, credit tracking for high school students, and other compliance-related data relevant to homeschool regulations.
  • XP & Gamification System: A reward system through which students earn experience points, unlock badges, and track achievements to encourage engagement and motivation.
  • Runway Tutoring (where available): AI avatar-led tutoring sessions that provide interactive, video-based instruction in selected subject areas.

The Service is provided on a subscription basis and is not free. Certain features may be available during free trial periods, promotional periods, or preview/beta phases at our sole discretion, but the full Service requires a paid subscription as described in Section 3.

We reserve the right to modify, suspend, discontinue, or limit the availability of any feature, functionality, or content of the Service at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuance.

3. Subscription, Billing & Parental Consent

3.1 Subscription Model.

Shema Studies operates on a paid monthly subscription model. The subscription price varies based on the number of students enrolled under your account, with tiered pricing for one (1) through six (6) students. The current pricing is displayed on our website and is subject to change in accordance with Section 12 (Changes to Terms) and any applicable notice requirements.

3.2 Parental Consent Through Subscription.

By completing a subscription purchase, you (the parent or legal guardian) expressly affirm, represent, and warrant all of the following:

  • That you are the parent or legal guardian of the student(s) you enroll on the Platform;
  • That you have the legal authority to make educational and technology-use decisions on behalf of your child(ren), including the authority to consent to the collection, use, and disclosure of their personal information as described in these Terms and our Privacy Policy;
  • That you grant informed, voluntary, and verifiable consent for your child(ren) to use the Platform and all of its features, including but not limited to the AI-powered tutoring, curriculum generation, and conversation features;
  • That you understand the Platform collects personal information from your child(ren) as described in Section 4 and our Privacy Policy, and that you consent to such collection and use;
  • That you understand all AI conversations involving your child(ren) will be recorded (including text transcripts and voice recordings) and reviewed by platform administrators for safety purposes as described in Section 5;
  • That your payment constitutes proof of parental consent and your binding agreement to these Terms on behalf of yourself and your minor child(ren).

If at any time you are no longer the parent or legal guardian of an enrolled student, or if you withdraw your consent for your child to use the Service, you must immediately cancel your subscription and contact us to have the student's data removed from the Platform.

3.3 Billing & Payment.

Subscription fees are billed in advance on a monthly recurring basis through our third-party payment processor, Stripe, Inc. By providing a payment method, you authorize us and Stripe to charge the applicable subscription fees to your designated payment method on a recurring monthly basis until you cancel your subscription. You are responsible for maintaining accurate and current payment information.

Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period, after which your account will be deactivated and access to the Service will be terminated.

We may change our subscription fees at any time upon reasonable notice. Any fee changes will take effect at the start of your next billing cycle following the notice. If you do not agree to the new fees, you may cancel your subscription before the new billing period begins.

3.4 Free Trials & Promotional Periods.

If we offer a free trial or promotional period, you will not be charged during that period. At the end of the trial or promotional period, your subscription will automatically convert to a paid subscription at the then-current rate unless you cancel before the trial or promotional period ends. We may limit the availability or duration of free trials and may refuse to offer a free trial to any person at any time.

4. Children's Privacy & COPPA Compliance

Shema Studies is specifically designed for homeschooled students, including children under the age of 13. We are committed to full compliance with the Children's Online Privacy Protection Act ("COPPA"), 16 C.F.R. Part 312, as well as all applicable state children's privacy and student data privacy laws, including but not limited to:

  • The federal Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §6501–6506 and 16 C.F.R. Part 312;
  • The federal Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. §1232g, to the extent applicable;
  • The federal Student Digital Privacy and Parental Rights Act, where applicable;
  • California Student Online Personal Information Protection Act (SOPIPA), Cal. Bus. & Prof. Code §22584;
  • Washington's student data privacy provisions under RCW 28A.604;
  • All other applicable state student data privacy and children's online privacy laws.

4.1 Types of Personal Information Collected from Children.

We collect the following categories of personal information from students, which may include children under 13, solely for the purpose of operating and improving the educational Service:

  • Identifiers: First name, last name, and a parent-assigned password for student login;
  • Educational records: Grade level, enrolled subjects, assignment responses, scores, grades, completion status, learning progress milestones, and generated curriculum content;
  • Gamification data: Experience points (XP), badges earned, achievement history, and reward shop activity;
  • AI interaction data: Full text transcripts and voice recordings of all conversations between the student and the Platform's AI features, as further described in Section 5;
  • Usage and session data: Login timestamps, last active status, current screen being viewed (for parent live-view), session duration, and interaction logs;
  • Compliance data: Instructional hours, school year structure, credit tracking, and state/district compliance information.

4.2 Parental Consent.

We collect personal information from children under 13 only after obtaining verifiable parental consent, which is obtained through the subscription purchase process described in Section 3. The subscription purchase constitutes affirmative, verifiable consent as required by COPPA, 16 C.F.R. §312.5. We do not collect personal information from children under 13 prior to obtaining such consent.

4.3 Parental Rights Under COPPA.

As the parent or legal guardian of a child under 13 who uses the Service, you have the following rights under COPPA and applicable state law:

  • Right to Review: You may request to review the personal information we have collected from your child by contacting us. We will provide this information within a reasonable timeframe.
  • Right to Delete: You may request that we delete your child's personal information, subject to certain legal exceptions (e.g., where retention is required by law or for safety/compliance purposes).
  • Right to Refuse Further Collection: You may refuse to permit the further collection or use of your child's personal information. If you exercise this right, we will no longer be able to provide the Service to your child.
  • Right to Withdraw Consent: You may withdraw your previously given consent at any time by cancelling your subscription and contacting us to request data deletion.

To exercise any of these rights, please contact us using the information in Section 13. We will verify your identity as the parent or legal guardian before processing any request, as required by 16 C.F.R. §312.6.

4.4 Prohibition on Conditioning Participation.

We do not condition a child's participation in any game, prize, or other activity on the disclosure of more personal information than is reasonably necessary to use the Service for its intended educational purpose.

4.5 No Sale or Disclosure of Children's Data.

We do not sell, rent, or share children's personal information to or with any third party for marketing or advertising purposes. We do not use children's personal information to deliver behavioral advertising to the child. We do not disclose children's personal information to third parties except as necessary to operate the Service (e.g., our payment processor and AI service providers), and any such third party is contractually obligated to maintain the confidentiality and security of the data and to use it only for the purpose for which it was disclosed.

5. AI Conversation Recording, Transcription & Monitoring

5.1 What Is Recorded.

To ensure student safety, maintain AI quality, and comply with our legal obligations, Shema Studies automatically records, transcribes, and stores all interactions between users and the Platform's AI features. This applies to both student-facing AI features (such as the Live Tutor and Runway Tutoring) and parent-facing AI features (such as Shiloh AI). Specifically, we record and store:

  • Text transcripts: A complete written record of every message exchanged between the user and the AI, including the user's input (whether typed or transcribed from speech) and the AI's response;
  • Voice recordings: Audio recordings of the student's microphone during Live Tutor sessions, capturing the student's spoken input to the AI tutor;
  • Conversation metadata: The start and end timestamps of each conversation, total duration, the user's identity (student ID or parent ID), user type (student or parent), conversation type (tutor, shiloh, or runway), and any associated subject or assignment context;
  • Message history: A structured record of each individual message within a conversation, including the role (user or AI), the text content, and the sequential order of messages.

5.2 Why We Record.

The primary purposes of recording AI conversations are:

  • Student safety: To enable platform administrators to review AI responses and ensure the AI is not producing content that is inappropriate, harmful, offensive, sexually explicit, violent, or otherwise unsuitable for children;
  • AI quality assurance: To monitor and improve the quality, accuracy, and educational value of AI-generated responses;
  • Abuse detection: To detect and prevent misuse of the AI features, including attempts to generate harmful, illegal, or inappropriate content;
  • Legal compliance: To maintain records that may be necessary for legal, regulatory, or safety purposes;
  • Parental transparency: To allow parents to review what the AI said to their child and what their child said to the AI.

5.3 Who Can Access Recordings.

AI conversation recordings and transcripts are accessible only to the following parties:

  • The parent or legal guardian who created the student's account (for their own child's recordings);
  • Authorized platform administrators (Shema Studies staff) for the purpose of safety monitoring and quality assurance;
  • Authorized service providers who assist in operating the Platform (e.g., AI model providers, cloud storage providers), who are contractually bound to protect the data and use it only as instructed by us.

5.4 Retention of Recordings.

Voice recordings and text transcripts are retained for the duration of the active subscription and for a reasonable period thereafter (not to exceed the period required by applicable law or necessary for safety and compliance purposes). Parents may request deletion of their child's conversation logs at any time by contacting us, subject to any legal retention obligations that may require us to retain certain records for a limited period.

5.5 Parental Access.

Parents may request access to their child's AI conversation logs, including transcripts and voice recordings, at any time by contacting us. We will provide access within a reasonable timeframe after verifying the requester's identity as the parent or legal guardian.

5.6 No Guarantee of AI Accuracy.

While we monitor AI conversations and take steps to ensure the AI produces appropriate content, we cannot guarantee that every AI-generated response will be accurate, complete, or appropriate. AI models may occasionally produce incorrect, biased, or unexpected outputs. Parents are encouraged to review their child's conversation logs periodically and report any concerns to us. The Service is an educational aid, not a substitute for parental supervision and professional educational guidance.

6. Email Marketing & Communications Consent

6.1 Marketing Consent.

By providing your email address and checking the consent box on our waitlist signup form or any other marketing form on our Platform, you explicitly, voluntarily, and affirmatively consent to receive marketing and promotional email communications from Shema Studies at the email address you provided. This consent is separate from and in addition to any transactional emails related to your subscription or account.

Marketing emails may include, without limitation: product launch announcements, feature updates, educational tips and resources, promotional offers, newsletter content, community updates, and surveys.

6.2 Transactional Emails.

Separate from marketing emails, we will send you transactional emails related to your account and subscription, including but not limited to: payment receipts, subscription confirmations, password reset instructions, account security notifications, and important service announcements. You cannot opt out of transactional emails, as they are necessary to operate the Service and fulfill our contractual obligations to you.

6.3 Unsubscribe Rights.

You may withdraw your marketing consent and unsubscribe from promotional emails at any time by:

  • Clicking the unsubscribe link included in every marketing email we send;
  • Visiting our unsubscribe page and submitting your email address; or
  • Contacting us using the information in Section 13.

We will process your opt-out request within ten (10) business days, as required by California Business & Professions Code §17529.4, Washington's Commercial Electronic Mail Act (RCW 19.190), and the federal CAN-SPAM Act (15 U.S.C. §7701 et seq.).

6.4 CAN-SPAM & State Law Compliance.

All marketing emails we send include our physical mailing address and a clear, functioning unsubscribe mechanism, as required by the federal CAN-SPAM Act and applicable state email marketing laws. We do not use false or deceptive subject lines, we do not use misleading header information, and we honor all opt-out requests within the timeframe required by law.

7. User Accounts & Responsibilities

7.1 Account Creation.

To access the full Service, you must create a parent/guardian account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and for updating it as needed.

7.2 Account Security.

You are responsible for safeguarding your account credentials (email and password) and for all activity that occurs under your account. You agree to immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from unauthorized access to your account.

You are also responsible for safeguarding the student login credentials assigned to your child(ren). Student credentials should be shared only with the enrolled student and should not be distributed to other individuals. If you believe a student's credentials have been compromised, you must contact us immediately to reset them.

7.3 Acceptable Use.

You agree not to, and not to permit any child or third party to:

  • Use the Service for any unlawful, harmful, fraudulent, infringing, or malicious purpose;
  • Attempt to generate harmful, illegal, sexually explicit, violent, or otherwise inappropriate content through the AI features;
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service or any underlying AI models;
  • Interfere with or disrupt the Service, including introducing viruses, malware, or other malicious code;
  • Use the Service to harass, bully, or harm any person;
  • Share, sell, or transfer account credentials to any third party;
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service;
  • Bypass or attempt to bypass any security or access control measures of the Service;
  • Use automated systems (bots, scrapers, scripts) to access or collect data from the Service;
  • Enroll a student who is not your own child or for whom you do not have legal guardianship authority.

7.4 Parental Supervision.

While the Service is designed to be safe and educational for children, it is not a substitute for parental supervision. Parents are encouraged to periodically review their child's activity on the Platform, including completed assignments, AI conversation logs, and learning progress. Parents remain ultimately responsible for their child's educational outcomes and online safety.

8. Intellectual Property Rights

8.1 Platform Ownership.

The Service, including but not limited to its design, source code, user interface, branding, logos, graphics, text, features, functionality, and underlying technology, is the exclusive property of Shema Studies and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 AI-Generated Content.

Curriculum content, assignments, lesson plans, visual models, and other educational materials generated by the Platform's AI are licensed to you solely for personal, non-commercial educational use with the enrolled student(s) under your account. You may not redistribute, sell, publish, or commercially exploit AI-generated content without our prior written consent.

8.3 User Content.

You retain ownership of any content you submit to the Platform, including assignment responses, notes, and messages sent to the AI. However, by submitting content to the Platform, you grant us a non-exclusive, royalty-free, worldwide license to use, process, store, and display that content for the purpose of operating and improving the Service, including for training and improving our AI models in an aggregated, de-identified manner.

8.4 Trademarks.

"Shema Studies," "Shiloh AI," the Shema Studies logo, and all related marks are trademarks of Shema Studies. You may not use these marks without our prior written permission.

9. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes in detail how we collect, use, disclose, retain, and protect personal information for both parents and students, including information collected from children under 13. It also describes your rights under federal law (including COPPA) and applicable state privacy laws, including the California Consumer Privacy Act (CCPA/CPRA), the Washington Privacy Act (RCW 19.373), and other state privacy and student data laws. You should review the Privacy Policy in full.

10. Disclaimers & Limitation of Liability

10.1 Disclaimers.

The Service is provided on an "as is" and "as available" basis, with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI-generated content will be accurate, complete, or appropriate.

The AI-powered features of the Service are based on large language models that may produce incorrect, biased, outdated, or otherwise flawed outputs. The Service is an educational aid and should not be relied upon as the sole source of educational instruction, legal advice, medical advice, or professional guidance of any kind.

10.2 Limitation of Liability.

To the maximum extent permitted by applicable law, in no event shall Shema Studies, its officers, directors, employees, agents, affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, data loss, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Service, including any AI-generated content, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability for any and all claims arising out of or in connection with these Terms or the Service shall not exceed the total amount you have paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

10.3 Educational Outcomes.

We do not guarantee any specific educational outcome, grade improvement, test score improvement, or compliance with any particular state's homeschool requirements. Parents are solely responsible for ensuring their homeschool program meets all applicable legal requirements in their jurisdiction.

11. Indemnification

You agree to indemnify, defend, and hold harmless Shema Studies, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit to the Platform, including any misuse of the AI features.

12. Governing Law & Dispute Resolution

12.1 Governing Law.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Washington, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

Notwithstanding the foregoing, this governing law provision does not limit or override any consumer protection rights you may have under the laws of the state in which you reside. If any provision of this Section is found to be unenforceable in your jurisdiction, it shall not apply to you in that jurisdiction, and the remaining provisions shall remain in full force and effect.

12.2 Informal Dispute Resolution.

Before filing any formal legal action, both parties agree to attempt to resolve any dispute informally. You must first contact us with a written description of the dispute and allow us sixty (60) days to attempt to resolve it. If we cannot resolve the dispute informally within that period, either party may pursue formal legal action.

12.3 Class Action Waiver.

To the maximum extent permitted by applicable law, you agree that any dispute will be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. You further agree that no arbitrator or court has the authority to consolidate or proceed on a class-wide basis.

13. Subscription Cancellation & Account Termination

13.1 Cancellation by You.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the billing period in which you cancel. No refunds or credits will be issued for partial billing periods, except as required by applicable law.

13.2 Termination by Us.

We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, if we believe you have violated these Terms, misused the Service, or if we are required to do so by law. Upon termination, all licenses granted to you under these Terms will immediately cease.

13.3 Data Upon Termination.

Upon termination of your account, we will retain your and your child's personal information and conversation logs for a reasonable period as described in Section 5 and our Privacy Policy, after which the data will be deleted, except where retention is required by law. You may request earlier deletion of data subject to applicable legal exceptions.

14. Changes to Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by email at the address associated with your account and/or by posting a prominent notice within the Service. The "Last updated" date at the top of this document will also be revised.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date of the changes.

For changes that materially affect the collection, use, or disclosure of children's personal information, we will obtain new parental consent as required by COPPA and applicable law before implementing such changes with respect to your child's data.

15. Third-Party Services

The Service integrates with and relies upon third-party services and providers, including but not limited to: Stripe, Inc. (payment processing), AI model providers (large language models for curriculum generation and tutoring), cloud storage providers (for file and recording storage), and email delivery services. These third-party services have their own terms of service and privacy policies, and we are not responsible for their practices. Your use of third-party services is subject to their respective terms and policies.

16. General Provisions

16.1 Entire Agreement.

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Shema Studies regarding the Service and supersede all prior or contemporaneous agreements, whether oral or written.

16.2 Severability.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.

16.3 Waiver.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision or of any other right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of Shema Studies.

16.4 Assignment.

You may not assign, transfer, or sublicense these Terms or your account without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

16.5 Force Majeure.

We are not liable for any delay or failure to perform our obligations under these Terms where such delay or failure is caused by events beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, civil unrest, pandemics, government action, labor disputes, internet or telecommunications failures, or failures of third-party service providers.

16.6 Electronic Communications.

You consent to receive communications from us electronically, including via email and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
